Terms and Conditions of Use

These Terms and Conditions ("Terms") govern your use of the website https://joincoby.com (the "Website") and the COBY AI-powered product intelligence platform (the "Service"), operated by COBY ("we", "us", or "our").

By accessing or using the Website or Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Description of Service

COBY is an AI-powered product intelligence platform designed to help product teams understand what to build and why. The Service allows you to:

  • Connect work tools (GitHub, Gmail, Outlook, Notion, Slack, PostHog, Sentry, Supabase, Vercel) via OAuth to provide data for analysis
  • Upload documents (PDF, DOCX, CSV, TXT, MD, XML) for AI analysis
  • Run Event Analysis: a multi-agent AI pipeline that processes your connected data and surfaces strategic insights
  • Use "Ask Coby": an AI chat assistant with real-time access to your connected tools via MCP protocol
  • Use Claude Sessions: interactive multi-turn AI conversations that can use your connected tools to answer questions and complete tasks

2. Account Registration

To use the Service, you must:

  • Create an account with a valid email address
  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Be at least 18 years old, or have the consent of a parent or legal guardian

You are responsible for all activity that occurs under your account. Notify us immediately at founders@joincoby.com if you suspect unauthorized access.

3. Integrations and Data Access

By connecting a third-party service to COBY:

  • You grant COBY permission to access data from that service on your behalf, in accordance with the scopes you authorize
  • You represent and warrant that you have the authority to grant such access — including the authority to connect company or organizational accounts on behalf of your employer or organization
  • You are responsible for ensuring that your use of connected service data complies with each service's own terms of service and applicable laws
  • Revoking access stops future data collection but does not automatically delete previously generated analyses or conversation history

4. Document Uploads

By uploading documents to the Service:

  • You retain full ownership of your documents
  • You represent and warrant that you have the right to upload and process the document, and that the document does not infringe any third-party rights
  • You grant COBY a limited, non-exclusive license to process the document content solely to provide the Service to you
  • You are solely responsible for the content of any document you upload
  • We are not liable for any consequences arising from your uploaded content
  • Files must not exceed 25MB; accounts are limited to 50 files maximum
  • Supported formats: PDF, DOCX, CSV, TXT, MD, XML
  • We reserve the right to remove files that violate these Terms without prior notice

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of applicable laws or regulations
  • Connect integrations or upload documents you do not have authorization to access or share
  • Upload malicious content, malware, viruses, or files designed to compromise our systems or other users
  • Attempt to gain unauthorized access to the Service, other users' data, or related systems or networks
  • Interfere with or disrupt the integrity, performance, or availability of the Service
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service
  • Use the Service to develop a competing product or service
  • Share your account credentials with any third party
  • Circumvent any access controls, rate limits, or security measures
  • Misrepresent your identity or affiliation in connection with the Service

6. AI-Generated Content and Recommendations

Important disclaimer — please read carefully:

  • All insights, recommendations, analyses, and responses generated by COBY — including Event analysis results, "Ask Coby" chat responses, and Claude Session outputs — are produced by artificial intelligence and must be treated as suggestions only, not professional advice
  • COBY is not a substitute for professional legal, financial, medical, technical, or any other expert advice
  • You are solely responsible for evaluating, verifying, and deciding whether to act on any AI-generated output
  • AI models can produce inaccurate, incomplete, outdated, hallucinated, or biased outputs — we do not guarantee the accuracy, completeness, or reliability of any content the Service produces
  • Do not rely on COBY outputs as your sole basis for significant business, technical, legal, or financial decisions
  • We are not liable for any losses, damages, or consequences resulting from decisions made based on AI-generated content

7. Intellectual Property

7.1 COBY's Property

All content, design, code, algorithms, branding, and intellectual property related to the Service are the exclusive property of COBY and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our express written permission.

7.2 Your Data

You retain all rights to your data, documents, and the data from your connected integrations. By using the Service, you grant COBY a limited, non-exclusive, royalty-free license to process your data solely to provide the Service as described in our Privacy Policy. This license ends when you disconnect an integration, delete a file, or terminate your account.

7.3 Generated Analyses

You own the AI-generated analyses and insights produced for your account. COBY may use anonymized, aggregated, non-identifiable data to improve the quality of the Service.

8. Fees and Payment

The Service may be offered on a free or paid basis. If a paid plan applies to your account:

  • Fees are billed in advance on a recurring basis (monthly or annually, as selected)
  • All fees are non-refundable unless otherwise expressly stated
  • We may change pricing with at least 30 days' advance notice
  • Failure to pay may result in suspension or termination of your account

9. Service Availability

The Service is provided on an "as is" and "as available" basis. We do not guarantee:

  • Uninterrupted or error-free access to the Service
  • That the Service will meet your specific requirements or expectations
  • That defects or errors will be corrected on any particular timeline
  • Continuous availability of any third-party integration (availability depends on the respective third-party service)

We reserve the right to modify, suspend, or discontinue the Service or any feature at any time, with or without notice.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

  • COBY shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities
  • COBY shall not be liable for any damages arising from decisions made based on AI-generated outputs, analyses, or recommendations
  • COBY shall not be liable for the content of documents you upload or for your use of connected integration data
  • COBY shall not be liable for data loss, service interruptions, or failures caused by third-party service outages or OAuth revocations
  • Our total aggregate liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or €100 (whichever is greater)

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold COBY and its officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:

  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights or privacy rights
  • Your use or misuse of the Service
  • Documents you upload or integration data you connect without proper authorization
  • Any content you submit, transmit, or make available through the Service

12. Termination

12.1 By You

You may terminate your account at any time by contacting us or using account deletion features in your dashboard settings. Upon termination:

  • Your access to the Service will cease immediately
  • All OAuth tokens will be revoked
  • Your account data, documents, and conversation history will be deleted in accordance with our Privacy Policy

12.2 By COBY

We may suspend or terminate your access to the Service if:

  • You violate these Terms
  • You fail to pay applicable fees
  • Your use poses a security, legal, or reputational risk
  • We discontinue the Service

Where legally required or reasonably practicable, we will provide advance notice of termination.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your data. The Privacy Policy is incorporated into these Terms by reference.

14. Third-Party Services

The Service integrates with the following third-party services: Gmail (Google), Outlook (Microsoft), GitHub, Notion, Slack, PostHog, Sentry, Supabase, and Vercel. Your use of those services is governed by their respective terms of service and privacy policies. COBY is not responsible for the actions, availability, accuracy, content, or policies of any third-party service.

We also use Anthropic's Claude API to power AI analysis features. Your data may be processed by Anthropic in connection with the Service, subject to Anthropic's privacy policy.

15. Changes to Terms

We may update these Terms at any time. Material changes will be notified via email or a prominent notice on our website at least 14 days before they take effect. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Service after changes take effect constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of France, without regard to conflict of law principles. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Paris, France.

If you are a consumer in the European Union, you also have the right to file a complaint with your local data protection authority and may benefit from mandatory consumer protection provisions of your country of residence that apply despite this choice of law.

17. Miscellaneous

  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect
  • No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision
  • Assignment: You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and COBY regarding the Service and supersede all prior agreements
  • Language: These Terms are written in English. In case of any conflict with a translation, the English version prevails
